Terms of Service

These Terms of Service ("Terms") govern your use of Field ACQ ("Field ACQ," "we," "us," or "our") at fieldacq.com and related services (the "Service"). Please read them before creating an account or inviting other people into a workspace.

1. Acceptance of Terms

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of a company, you represent that you have authority to bind that company.

2. Eligibility

You must be at least 16 years old and authorized to enter a binding agreement. The Service is intended for business use by construction professionals and their teams.

5. User Content

"User Content" means all data you and your team submit to the Service, including projects, daily logs, photos and their metadata (timestamps, GPS, addresses), time entries, estimates, invoices, and documents.

6. GC Visibility & Invites

Team and GC 15 subscriptions include a limited number of workspace seats. The company owner may invite users into those seats and assign a role and module-level access. Active members and pending, unexpired invitations count toward the plan's seat limit. The owner is responsible for reviewing assigned access, removing users who no longer need access, and ensuring invitees are authorized to receive the workspace information made available to them.

Invitations do not create a separate paid Solo subscription for the invitee. Ownership cannot be granted through an ordinary invitation or role change; any future ownership-transfer workflow will require separate verification.

The Service, including its software, design, the Field ACQ and fieldacq.com names and marks, and the embedded Nationwide Development Reference content, is owned by Field ACQ or its licensors and protected by intellectual property laws. These Terms grant no rights except as expressly stated. Feedback you provide may be used by us without restriction.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, secure, or that compliance reference results are accurate or complete for your jurisdiction.

Bid Engine, AutoBid, Design Studio, document-photo extraction, scan analysis, and other AI-assisted features provide workflow assistance and draft outputs only. You are responsible for reviewing extracted names, numbers, dates, line items, measurements, assumptions, quantities, pricing, designs, code requirements, and safety decisions before relying on them. The Service is not legal, engineering, architectural, surveying, or accounting advice.

Invoices and estimates created in Field ACQ are business documents. Field ACQ does not collect, hold, escrow, or disburse construction funds between project participants.

10. Limitation of Liability

To the maximum extent permitted by law, Field ACQ and its suppliers are not liable for any indirect, incidental, special, consequential, or exemplary damages, or for loss of profits, data, or business, arising from your use of the Service. Our aggregate liability for any claim is limited to the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold Field ACQ harmless from claims, damages, and expenses arising from your User Content, your breach of these Terms, your sharing decisions, or your violation of any law or third-party rights.

12. Termination

You may stop using and cancel your account at any time. We may suspend or terminate your access if you violate these Terms, create risk, or if we discontinue a feature or the Service. On termination, your right to use the Service ends; we will delete your data per our retention practices in the Privacy Policy.

13. Governing Law & Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws principles. We will attempt to resolve disputes informally; otherwise, disputes will be resolved in the state or federal courts located in Pennsylvania, unless applicable law requires another forum.

14. Changes to These Terms

We may revise these Terms. Material changes will be posted here with a revised "Last updated" date. Continued use after changes take effect constitutes acceptance.
